1. Purpose of These Terms
These Terms govern the use of the Stripe Express onboarding link provided by FlashVue.fr (“FlashVue”, “we”, “our”) to allow Partners (“Partner”, “you”) to create or connect a Stripe Express account under FlashVue’s Stripe platform.
This enables payments collected via FlashVue-hosted payment links to be routed directly to the Partner’s Stripe Express account. By using this link, you agree to these Terms.
2. Payment Flow
Partners create or connect a Stripe Express account through Stripe.
Payments made via FlashVue payment links are processed by Stripe and sent directly to the Partner’s account.
FlashVue does not hold, control, or manage Partner funds.
Stripe acts as the regulated payment service provider.
3. Relationship Between Parties
Partners operate as independent business entities.
Nothing in this agreement creates: a partnership, joint venture, or agency, or an employment relationship.
Partners are fully responsible for their business operations.
4. Stripe Terms
By onboarding, the Partner enters into a direct contractual relationship with Stripe.
The Partner must comply with: Stripe Connected Account Agreement, Stripe Services Agreement, and all applicable Stripe policies.
FlashVue is not responsible for Stripe’s account approval, verification, suspension, or termination decisions.
5. Compliance with Laws (France/EU)
The Partner confirms they are legally registered in France (if required).
Partners must comply with French commercial law, EU consumer protection regulations, and tax obligations, including VAT.
The Partner is responsible for declaring revenue, paying taxes, issuing invoices/receipts, and handling refunds.
FlashVue is not responsible for regulatory compliance.
6. GDPR and Data Protection
Each Party acts as an independent data controller.
Partners must comply with EU General Data Protection Regulation (GDPR) and French data protection laws.
FlashVue and Stripe process personal data according to their respective privacy policies.
Consent captured through the tick box is legally valid as explicit agreement under GDPR.
Personal data collected includes: Name, email, Stripe account identifiers, IP address, and submission timestamp for proof of consent.
7. Prohibited Activities
Partners may not use the onboarding link or Stripe account for illegal or fraudulent activities, restricted business types prohibited by Stripe, misleading or deceptive practices, or any activities violating French or EU law. FlashVue reserves the right to revoke access if misuse is suspected.
8. Limitation of Liability
To the fullest extent permitted under French law, FlashVue is not liable for Stripe account freezes, suspensions, or closures, payment processing failures or delays, chargebacks or fraudulent transactions, or regulatory penalties incurred by the Partner.
9. Indemnification
The Partner agrees to indemnify and hold FlashVue harmless from claims arising from products or services offered, consumer disputes, regulatory or tax issues, or violations of these Terms.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of France. Any dispute shall be subject to the exclusive jurisdiction of French courts.
11. Acceptance
By ticking the consent box on the onboarding form, the Partner confirms:
They have read and understood these Terms.
They accept them in full.
They are authorized to accept to accept these terms.
